Terms of Service

These Terms of Service (the “Terms”) form a binding agreement between you and GooseMind LLC (“GooseMind”, “we”, “us”, or “our”) governing your access to and use of our websites, applications, and services, including the OpenGoose product (together, the “Service”). By creating an account or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

1. Who we are

GooseMind LLC is a Delaware limited liability company and an independent software company headquartered in San Jose, California, United States. You can reach us at support@goosemind.ai.

2. The Service

OpenGoose is an AI-native workspace that brings chat, notes, reading, code, and messaging into one application and works with multiple third-party large language models. You may use the Service with your own model provider API keys, or subscribe to GooseMind Cloud to access models through us. Features may evolve over time as we improve the Service.

3. Eligibility and accounts

You must be at least 18 years old, or the age of majority in your jurisdiction, to use the Service. You are responsible for the information you provide, for maintaining the security of your account and credentials, and for all activity that occurs under your account. Notify us promptly of any unauthorized use.

4. Subscriptions, billing, and renewals

Paid plans are offered as subscriptions billed in U.S. dollars (USD). Unless stated otherwise:

  • Monthly subscriptions are billed in advance and renew automatically each month until canceled.
  • You authorize us and our payment processor to charge your payment method for each renewal at the then-current price.
  • Prices exclude taxes; applicable taxes may be added where required.
  • We may change plan prices or features. We will give reasonable advance notice of price increases, which take effect on your next renewal. Continued use after a change takes effect constitutes acceptance.

Cancellations and refunds are governed by our Refund & Cancellation Policy, which is incorporated into these Terms. Payments are processed by Stripe; we do not store full payment card numbers.

5. Free plan and bring-your-own-key

The Free plan lets you use the Service with your own third-party model provider API keys. When you do, you are responsible for your agreements with, and any fees charged by, those providers. We are not responsible for third-party provider availability, pricing, or terms.

6. Acceptable use

You agree not to use the Service to:

  • violate any applicable law, regulation, or third-party right;
  • generate or distribute unlawful, harmful, harassing, hateful, or sexually exploitative content, including any content that sexualizes minors;
  • infringe intellectual property or misappropriate confidential or personal data;
  • develop or deploy malware, attempt to gain unauthorized access, or disrupt or overload the Service;
  • resell, sublicense, or abuse the Service or its underlying model providers in violation of their usage policies;
  • circumvent usage limits, rate limits, or security measures.

Export and legal restrictions. You must comply with all applicable export control and sanctions laws. You may not use the Service if you are located in, or are a resident of, a country or region subject to comprehensive U.S. sanctions, or if you are on a restricted-party list. You are responsible for compliance with laws that apply to your use.

7. Third-party models and services

The Service integrates third-party large language models and infrastructure providers. Your use of those models may be subject to their own terms and policies, and their outputs are generated by them, not by us. AI output can be inaccurate or incomplete; you are responsible for evaluating its suitability before relying on it.

8. Your content

You retain ownership of the content you create, upload, or submit through the Service (“Your Content”). You grant us a limited license to host, process, and transmit Your Content solely to operate and improve the Service for you, including routing prompts to the model providers you choose. We do not claim ownership of Your Content.

9. Our intellectual property

The Service, including its software, design, and brand (other than third-party marks), is owned by GooseMind and protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable, revocable license to use the Service in accordance with these Terms. All rights not expressly granted are reserved.

10. Disclaimers

The Service is provided “as is” and “as available,” without warranties of any kind, whether express, implied, or statutory, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or secure.

11. Limitation of liability

To the maximum extent permitted by law, GooseMind will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, data, or goodwill. Our total liability for any claim arising out of or relating to the Service is limited to the amount you paid us for the Service in the twelve months before the event giving rise to the claim.

12. Indemnification

You agree to indemnify and hold GooseMind harmless from claims, damages, and expenses (including reasonable legal fees) arising out of your use of the Service, Your Content, or your violation of these Terms or any law or third-party right.

13. Suspension and termination

You may stop using the Service and cancel your subscription at any time. We may suspend or terminate access if you violate these Terms or if necessary to protect the Service or other users. Provisions that by their nature should survive termination will survive.

14. Changes to these Terms

We may update these Terms from time to time. If we make material changes, we will update the “Last updated” date above and, where appropriate, provide additional notice. Your continued use of the Service after changes take effect constitutes acceptance.

15. Governing law and disputes

These Terms are governed by the laws of the State of Delaware, United States, without regard to its conflict-of-laws rules. You agree that the state and federal courts located in the State of Delaware will have exclusive jurisdiction over any dispute arising out of or relating to these Terms or the Service, subject to any mandatory consumer-protection rights in your place of residence.
